Terms of Service

These terms are the agreement between you and ContractorsChat. Please read them carefully — they include important limitations of liability and a dispute-resolution provision.

1. Acceptance of terms

These Terms of Service (“Terms”) are a legal agreement between you and ContractorsChat, Inc. (“ContractorsChat,” “we,” “us,” or “our”) governing your access to and use of contractorschat.com and our related applications and services (the “Services”). By creating an account, accessing, or using the Services, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Services.

2. The service

ContractorsChat is a communication and project-management platform that helps general contractors, trade professionals, and their collaborators message one another, share documents, post and respond to bids, manage projects, leave reviews, and send and receive payments. We may add, change, or remove features at any time.

3. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Services. If you use the Services on behalf of a company or other organization, you represent that you are authorized to bind that entity to these Terms, and “you” refers to that entity.

4. Accounts

You must provide accurate and complete information when you register and keep it up to date. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Notify us promptly at Dan@contractorschat.com if you suspect unauthorized use of your account.

5. Subscriptions & payment

  • Plans & fees. Some features are free; others require a paid subscription. Current pricing is shown on our pricing page. Fees are stated exclusive of taxes, which you are responsible for where applicable.
  • Billing. Paid subscriptions renew automatically for the same term (e.g., monthly or annually) until canceled. By subscribing, you authorize us and our payment processor to charge your payment method on each renewal date.
  • Payment processing. Payments are processed by Stripe and are subject to Stripe’s terms. Transaction-processing fees, where they apply, are disclosed at the time of the transaction.
  • Cancellation. You may cancel a subscription at any time; cancellation takes effect at the end of the current billing period, and you retain access until then.
  • Refunds. Except where required by law, fees already paid are non-refundable. We may change our prices on prospective notice; changes do not affect the current paid term.

6. Your content

You retain ownership of the content you submit to the Services (“User Content”), including messages, documents, photos, bids, and reviews. You grant ContractorsChat a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify (e.g., to format or display), and transmit your User Content solely as needed to operate, provide, and improve the Services.

You represent that you have the rights necessary to submit your User Content and that it does not violate any law or third-party right. You are solely responsible for your User Content and the consequences of sharing it.

7. Acceptable use

You agree not to:

  • Use the Services for any unlawful, fraudulent, or deceptive purpose;
  • Post content that is defamatory, harassing, infringing, obscene, or that you do not have the right to share;
  • Impersonate any person or entity, or misrepresent your licensing, insurance, or credentials;
  • Interfere with or disrupt the Services, or attempt to gain unauthorized access to any systems or accounts;
  • Reverse engineer, scrape, or copy the Services except as permitted by law;
  • Use the Services to send spam or to transmit malware or other harmful code; or
  • Violate the rights of, or harm, other users or third parties.

We may investigate and take action — including removing content or suspending accounts — for conduct that violates these Terms.

8. Our role; verification

ContractorsChat is a neutral platform that connects users. We are not a party to, and are not responsible for, any agreement, transaction, project, or dispute between users. We do not employ, endorse, or guarantee any contractor, trade, or other user, and we do not guarantee the quality, safety, legality, or outcome of any work, bid, or payment arranged through the Services.

Any profile badges, license checks, or verification features are provided for convenience and are not a substitute for your own due diligence. You are responsible for independently verifying the identity, licensing, insurance, and qualifications of anyone you do business with.

9. Third-party services

The Services may integrate with or link to third-party products and services (for example, payment, accounting, or analytics tools). Your use of those services is governed by their own terms and policies, and we are not responsible for them.

10. Intellectual property

The Services, including all software, design, text, graphics, logos, and trademarks (other than User Content), are owned by ContractorsChat or its licensors and are protected by intellectual-property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your internal business purposes. You may not use our name, logos, or trademarks without our prior written permission.

11. Feedback

If you send us suggestions or feedback about the Services, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without any obligation to you.

12. Termination

You may stop using the Services and close your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or if we discontinue the Services. Upon termination, your right to use the Services ceases. Sections that by their nature should survive termination — including ownership, disclaimers, limitation of liability, indemnification, and dispute resolution — will survive.

13. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY CONTENT IS ACCURATE OR RELIABLE.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONTRACTORSCHAT AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

15. Indemnification

You agree to indemnify and hold harmless ContractorsChat and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your use of the Services, your User Content, your violation of these Terms, or your violation of any law or third-party right.

16. Disputes & governing law

These Terms are governed by the laws of the State of South Carolina, without regard to its conflict-of-laws rules. Before filing a claim, you agree to first contact us at Dan@contractorschat.com and attempt to resolve the dispute informally for at least 30 days.

Any dispute that is not resolved informally will be brought exclusively in the state or federal courts located in Spartanburg County, South Carolina, and you consent to the personal jurisdiction of those courts. To the extent permitted by law, you and ContractorsChat waive any right to a jury trial and agree that claims must be brought in an individual capacity and not as part of any class or representative action.

17. Changes to these terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Services after an update means you accept the revised Terms.

18. General terms

  • Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and ContractorsChat regarding the Services.
  • Severability. If any provision is held unenforceable, the remaining provisions remain in effect.
  • No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
  • Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
  • Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
